INVITATION TO TENDER FOR LEGAL SERVICES FOR WAVE HUB LIMITED - WHL/2017/TEN/05

Wave Hub Limited (WHL) is seeking a suitably qualified and experienced legal service provider to support WHL on a range of matters including entering into contracts with technology developers, management of WHL’s two seabed leases, supplier contracts, company matters, funding applications, state aid, procurement, research activity and site development.

In relation to the above tender could we raise a query as to how the rates of the lawyers will be evaluated. How will different rates between partner, senior lawyer and junior lawyer be evaluated? Will you look at the lowest total sum adding the rates together or will there be a weighting for each level etc.

When evaluating the rates for partner, senior lawyer and junior lawyer we will weight each rate in line with our expected percentage time requirement for each different category. The weighting will be; Partner 20% Senior Lawyer 75% Junior Lawyer 5%

The agreement states that it is "Call-off Contract". Please could you confirm what the call-off terms will be?

This clause (5) states that; No subcontractors are to be used, including counsel without prior written approval from the client. Please could you confirm whether this refers only to sub-contracting legal services (i.e. not back office/operational functions)? We routinely sub-contract certain day-to-day operations such as IT support and reprographics to a number of outsourced providers who are fully integrated into our business operations. We would expect that the requirement for consent within this clause does not include the sub-contracting of day-to-day operations, but applies only to sub-contracting the actual provision of the legal services – please confirm that this is correct?

There is no limit of liability wording in the contract. We confirm that we do have the £2m insurance cover that you specify, however there is no actual cap on our liability. Our standard firm practice would be to offer a cap of £5,000,000. Would this be acceptable?
